East Side Food Bank secures permanent home in Swansea following chapel purchase

A Swansea food bank that faced losing its community base has secured its future after purchasing the chapel premises it operates from in Bonymaen, with legal support from Peter Lynn and Partners Solicitors.

East Side Food Bank completed the purchase in August, safeguarding a building that has become an important local resource for people experiencing hardship and ensuring the charity can continue its work without the uncertainty of relocating.

The purchase became necessary when the chapel was put up for sale, raising concerns about the future of the food bank and the wider community activities taking place there.

With funding support available to help secure the property, the charity’s trustees were able to pursue ownership of the building rather than face the prospect of finding alternative premises.

Commercial Property Solicitor Ashley Leung of Peter Lynn and Partners acted for the charity throughout the transaction, which involved several legal considerations beyond those typically associated with a straightforward property purchase.

“For East Side Food Bank, this was about much more than buying a building,” said Ashley. “The chapel is an important part of the local community, and the trustees wanted to ensure the charity could keep providing support from a place people already know and rely on. Helping them secure that future was particularly rewarding, especially given the circumstances that led to the property becoming available,” she continued.

As a charitable organisation, East Side Food Bank also had specific governance requirements to address during the purchase. This included establishing the appropriate decision-making authority, identifying who could act on behalf of the charity, and coordinating the necessary documentation and signatures with its trustees.

The transaction was further complicated by two separate overage deeds that the charity was required to enter into as part of the purchase.

Overage arrangements are commonly used in commercial property transactions to allow a seller to receive an additional payment if certain events occur after completion. In this case, one deed concerned a future disposal of the property, while the other related to any increase in value arising from future planning circumstances.

Although the charity’s immediate intention was to secure a permanent community base, these arrangements required careful consideration because they could affect future decisions about the building.

Ashley explained, “The overage provisions were an important part of the negotiations. While the purchase price was relatively modest, the continuing obligations attached to the property needed to be properly understood.”

“We worked through both deeds with the trustees, explaining how they could affect future disposals or development, while making sure the transaction remained focused on what the charity was trying to achieve,” she continued.

For East Side Food Bank, ownership provides greater certainty over a building that supports its work in Bonymaen and the surrounding Swansea communities. It also gives the trustees a stronger foundation for planning the charity’s future activities, without the immediate threat of losing its premises through a sale to another buyer.

“There is a real sense of satisfaction in helping a local charity protect something that matters to the people it serves. The trustees were committed to keeping this building available for community use, and we are delighted to have helped them achieve that,” added Ashley.

With the purchase complete, East Side Food Bank can now focus on continuing its food bank provision and wider community support, knowing the chapel is secured for the charity’s long-term use.
